These Terms of Service govern access to and use of websites, software, integrations, communication channels, and digital services operated by Geoactiv S.A. de C.V., including services related to Tal-IA and associated platforms.

1. Acceptance of Terms

By accessing or using our services, websites, software, APIs, webchat channels, or WhatsApp-based tools, you agree to be bound by these Terms of Service and all applicable laws and regulations.

2. Services

Geoactiv S.A. de C.V. provides software, automation, communication, CRM, AI-assisted, integration, and operational digital services. We may modify, improve, suspend, or discontinue any feature or service at any time.

3. Proper Use

You agree to use the services lawfully and responsibly. You must not:

• Use the services for unlawful, fraudulent, abusive, or misleading activities
• Attempt unauthorized access to systems, data, accounts, or infrastructure
• Interfere with service performance, availability, or security
• Use the services to violate third-party rights or applicable platform policies

4. Accounts and Credentials

If credentials, API integrations, or user accounts are issued to you, you are responsible for maintaining their confidentiality and for all activities carried out under your access.

5. Third-Party Services

Some services may depend on or integrate with third-party platforms, including Meta, WhatsApp, cloud providers, and related technology vendors. Your use of those integrations may also be subject to third-party terms and policies.

6. Intellectual Property

All software, designs, trademarks, content, processes, and materials provided by Geoactiv S.A. de C.V. remain the property of Geoactiv S.A. de C.V. or its licensors unless otherwise agreed in writing.

7. Availability and Support

We aim to provide stable and secure services, but we do not guarantee uninterrupted availability. Maintenance, technical failures, provider incidents, and external platform outages may affect service continuity.

8. Limitation of Liability

To the maximum extent permitted by law, Geoactiv S.A. de C.V. shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or service interruptions arising from use of the services.

9. Indemnification

You agree to indemnify and hold harmless Geoactiv S.A. de C.V. from claims, damages, liabilities, and expenses arising from misuse of the services, breach of these Terms, or violation of applicable law.

10. Termination

We may suspend or terminate access to services at any time if we reasonably believe there is misuse, risk, policy breach, legal exposure, or operational necessity.

11. Modifications

We may update these Terms of Service from time to time. Continued use of the services after publication of updated terms constitutes acceptance of the revised version.

12. Governing Law

These Terms shall be governed by the applicable laws of Mexico, unless a different jurisdiction is required by mandatory law or written agreement.
